US supply chain software firm RedPrairie to acquire JDASoftware for $1.9 billion

US supply chain software firm RedPrairie Corp today said it is acquiring enterprise technology maker JDASoftware Group Inc for about $1.9 billion in cash.

Privately-held RedPrairie is offering to pay $45 per-share, representing a 33 per cent premium to JDASoftware's 26 October closing price – the day before market rumours surfaced that the company is exploring a sale and a 18 per cent premium over JDA's Wednesday closing price of $38.15.

RedPrairie, backed by private- equity firm New Mountain Capital, said that the deal will create one of the largest global software companies with combined revenues of over $1 billion.

Scottsdale, Arizona-based JDASoftware is a provider of supply chain management, merchandising and pricing solutions worldwide. JDA has more than 2,700 companies and helps improve profitability and achieve results in the manufacturing, wholesale distribution, transportation, retail and services industries.

With integrated solutions offering that spans the entire supply chain from materials to the consumer, JDA leverages its strength through acquired companies that include i2 Technologies, Manugistics, E3, Intactix and Arthur.

RedPrairie said that JDASoftware's heritage of pioneering market-leading supply chain planning, merchandising and pricing solutions is a perfect strategic fit with its own warehousing, workforce management, store operations and e-commerce.
